The Justice Department ’s investigation of Netflix Inc. ’s proposed $72 billion takeover of Warner Bros. Discovery Inc . includes scrutiny of the streaming giant’s behavior and whether it wields anticompetitive leverage over creators in negotiations for acquiring programming. The department is seeking to determine whether the deal “may substantially lessen competition or tend to create a monopoly in violation of Section 7 of the Clayton Act or Section 2 of the Sherman Act,” according to a copy of a civil investigative demand reviewed by Bloomberg News dated Friday sent to an independent movie studio, and people familiar with the matter. The language in the demand, an administrative subpoena that hasn’t been previously reported, is the clearest sign yet that the Trump administration is going beyond a standard deal review as it investigates the merger, refuting an argument by Netflix in recent weeks that the government is not engaged in anything beyond the typical process. The broad scope of the review is also a strong indication that it will take many more months before the government decides whether to challenge the Netflix-Warner Bros. deal in court — a delay that may benefit rival bidder Paramount Skydance Corp . “Netflix operates in an extremely competitive market. Any claim that it is a monopolist, or seeking to monopolize, is unfounded,” Netflix Chief Legal Officer David Hyman said in a statement. “We neither hold monopoly power nor engage in exclusionary conduct and we’ll gladly cooperate, as we always do, with regulators on any concerns they may have.” The application of both laws has precedent, and the investigation may not result in any federal action. But deal reviews are typically conducted by US antitrust enforcers using just the Clayton Act, which is specifically for merger investigations. The Federal Emergency Management Agency announced Trump's approval on Saturday, allowing FEMA to provide equipment and resources to help with the response to the Jan. 19 spill after a pipeline ruptured. D.C. Mayor Muriel Bowser had requested federal help on Wednesday and declared an emergency. Trump's approval of the disaster relief request comes after he criticized the handling of the spill, blaming local Democratic leaders and focusing especially on Maryland's Democratic Gov. Wes Moore. He said in his social media posts criticizing the response that local officials had not asked for emergency help and he intended to step in. However, the federal government was already involved in the repair and assessing the impact of the leak through the Environmental Protection Agency. The 72-inch (183 centimeter) pipeline, known as the Potomac Interceptor, burst on Jan. 19, sending 250 million gallons of untreated sewage into the Potomac River just north of Washington in the first five days. The leak is largely under control, but it could take months to repair the pipe fully. The local water utility, DC Water, along with the EPA, has been working to repair the leak and monitor the impact on the river. Officials have said the area's drinking water is safe, but people who use the Potomac River for recreation are being cautioned not to have direct contact with the water.
