Now noteholders are banding together to figure out what – if anything — they can do to fight back. The firms offered to purchase the video-game company’s bonds at a price below the face value of the securities in a deal facilitated by JPMorgan Chase & Co . The proposal immediately rattled creditors who feared the move could undermine one of their most sacred safeguards: a change-of-control clause that guarantees a payout at a premium when a company shifts hands. If bondholders reject the deal, the sponsor group — which includes Silver Lake Management , Jared Kushner’s Affinity Partners and Saudi Arabia’s Public Investment Fund — will invoke an even more aggressive gambit, the offer documents show. They’ll use an obscure provision that would not only hand bondholders steeper losses but strip away other legal protections as well. Within hours of the tender offer, which clobbered the debt it concerns, several bondholders started organizing with Akin Gump Strauss Hauer & Feld to discuss ways to fight back, according to people familiar with the matter. Their fear is that if sponsors are able to bypass change-of-control obligations, it could have ramifications for the entire market, the people said, asking not to be identified discussing private conversations. Investors may realize their protections are no longer set in stone. A series of high-grade corporate bonds could see their prices drop, especially those with this “ defeasance ” provision, as it’s known in industry parlance.
