That's not an investment thesis; that's a hostage situation with a coupon attached. The numbers tell the story. Free cash flow runs about $1.3 billion annually, but after dividends and interest payments, almost everything left goes to debt paydown. Revenue? Flat. Cloud transition? Crawling. Aviator, the AI platform that's supposed to justify the wait? Works best in the cloud, but half the customer base is stuck on-premises because former CEO Mark Barrenchea promised they'd never have to migrate. And speaking of CEOs, Open Text just hired Ayman Antoun from IBM ( IBM ). A company that's been wrestling with the exact same problems - legacy customers, cloud migration friction, competition from faster vendors - for a decade. Open Text’s new team says no more big acquisitions, only small tuck-ins. Sounds responsible until you realize acquisitions were Open Text's only real growth engine. Now that's gone too. The stock trades at 14x forward earnings and 8.5x EBITDA with a 4.2% yield. It looks cheap. It's not. The market is pricing this correctly - a mature business managing decline while generating cash. The discount reflects real problems that aren't getting fixed anytime soon. Open Text isn't going bankrupt. The dividend is covered. But "won't go bankrupt" is a pretty low bar for a $9 billion software company. Hold if the 4% matters to your income strategy. Otherwise, there are better places to put money. The Debt Problem Open Text owes $5.8 billion from the Micro Focus acquisition. That deal added scale, sure. It also turned the balance sheet into a cage. Interest expense: $380 million annually. Shares were -15.92% pre-market to $8.08. The bitcoin mining and AI infrastructure company said it intends to offer the $300M notes due 2032 to institutional buyers. Additionally, the Singapore-based company intends to grant the initial purchasers an option to buy up to $45M principal amount of the notes. The general, senior unsecured obligations are expected to accrue interest payable semiannually in arrears. Upon conversion, the company said it will pay cash, class A ordinary shares, or a combination of cash and class A ordinary shares. The interest rate, initial conversion rate, repurchase or redemption rights, and certain other terms of the notes will be determined at the time of pricing. Additionally, Bitdeer Technologies said it intends to offer class A ordinary shares to certain holders of its 5.25% convertible senior notes due 2029. The number of shares to be sold in the registered direct placement and the price per share will be determined at the time of pricing. Vale ( VALE ) said its Vale Base Metals subsidiary will retain an 18.9% minority stake as part of a new four-party consortium for the Thompson venture, with Exiro, Orion, and Canada Growth Fund collectively holding 81.1%. The consortium partners agreed to invest as much as $200M at Thompson, while Vale Base Metals ( VALE ) signed an offtake agreement for concentrate produced at the Thompson mill, maintaining its status as Canada's largest nickel supplier.
