Wilson, who founded the Canadian apparel company in 1998 and was forced out in 2013 following controversial remarks about certain women’s bodies, remains its second-largest shareholder and has been a consistent critic of the company’s management. “Like a plane crash, declines rarely happen because of a single failure. It’s a series of mistakes,” Wilson said in an October Wall Street Journal ad attributing the share decline, brand erosion, and exodus of key employees to mismanagement. In Friday’s letter , Wilson outlined his efforts to force change, which have been met with disinterest by lululemon’s board of directors. Wilson said his nomination of three independent directors was met with silence. After an extended period, the board finally engaged with one of Wilson’s nominees, a response he considers “weak and insufficient,” “It is telling that the only concrete proposal the board has offered in response to my efforts is a non-disparagement agreement, showing that their only priority is protecting their own reputations.” Not surprisingly, lululemon ( LULU ) issued a rebuttal calling Wilson's claims "unfortunate." Yes, gross profit accelerated, and there is some encouraging news with Cash App. However, I don’t personally see a 40% headcount as fundamentally bullish. More than anything, I see this as a desperate attempt to cut costs for a business that is struggling to grow its core market and capture new revenues. Margins and profits will look much better in the coming quarters, but it doesn’t change Square’s real problem: lack of moat, differentiation, and slow growth. I covered this in my last piece, and I am now, in fact, downgrading Block to a Sell, given I see the layoffs as a very bearish move. Block Q4; Looks Okay On the surface, Q4 was solid. Gross profit came in at $2.87B, +24% YoY, and op Adjusted Operating Income was up 46% YoY, reaching $588M. Block in charts (SA) However, if we look at GPV, this was down for both Square and Cash App. The downward trend is undeniable, especially as far as Cash App is concerned. But the real shock came from the company’s guidance : Block Guidance (Investor Slides) After some very tough years, the company now expects a 2026 gross profit of $12.2B, an +18% increase, while Adjusted Operating Income should reach $3.2B. This is a very significant jump, which, to be fair, will be achieved in a very simple way. Why Block Rallied The stock didn’t rally 20% because of 24% gross profit growth. Ultimately, Block rallied because the CEO, Jack Dorsey, cut around 40% of the workforce. That's not a typo. Block is going from 10,000+ employees to under 6,000. The core thesis is simple. Intelligence tools have changed what it means to build and run a company. We're already seeing it internally.
