(RTTNews) - Public Storage (PSA), an owner and operator of self-storage facilities, and National Storage Affiliates Trust (NSA) on Monday announced a deal under which Public Storage will buy National Storage Affiliates for around $10.5 billion in an all-share transaction. Commenting on the planned acquisition, the company said: "Increases Public Storage's leading brand and scale in key U.S. markets complementary with existing portfolio to meaningfully enhance omnichannel digital-first platform for customers." Under the terms, NSA shareholders will receive 0.14 of a PSA share for each NSA share, representing a total consideration of $41.68 per share based on PSA's closing share price on March 13. The transaction is expected to be closed in the third quarter of 2026. NSA's portfolio includes over 1,000 properties, 69 million rentable square feet, and 550,000 units across 37 states and Puerto Rico. The combined company is expected to have a pro forma equity market capitalization of around $57 billion and a total enterprise value of $77 billion. Prior to the closing of this transaction, Public Storage and limited partners in NSA's operating partnership (OP) will form a joint venture consisting of 313 properties on NSA's operating platform with an estimated value of around $3.3 billion. OP unit holders are expected to own approximately 80% of the JV at inception, with PSA holding the remaining interest. The joint venture is expected to be capitalized with $2.2 billion of property-level secured debt, including a mezzanine loan investment from PSA of approximately $240 million, and operate at around 70% leverage. Nearly two months since a major storm brought widespread heavy snow and freezing rain to eastern parts of the US, a new winter storm is sweeping across north-eastern US states and south-eastern Canada. An area of low pressure, which first developed in north-western parts of the US late last week, intensified rapidly as it pushed north-east through central parts of the US. Combining dry, cold air from northern parts of the continent with warm, humid air from the tropics, the system generated a large area of snowfall that swept through the northernmost US states on Sunday, while a narrow band of heavy rain and thunderstorms – associated with a strong cold front – developed across a line stretching from the far north of mainland US to the Gulf of Mexico. Strong, gusty winds fanned a large wildfire across Nebraska, burning an area of more than 550 square miles. On Sunday, the National Weather Service issued an outlook warning of tornadoes along the front, with a 15% risk assigned to an area home to more than 11 million people across three states for Monday. As the new week begins, the storm centre will continue pushing north-east into south-eastern Canada, bringing heavy snowfall, freezing rain and strong winds to north-eastern US, Ontario, Quebec, and Newfoundland through Monday and Tuesday. Impacts are likely to be most severe around the Great Lakes: snowfall accumulations of up to 60-80cm are expected, followed by winds of 60-70mph, producing blizzard conditions and significant drifting. Meanwhile, the cold front farther south will sweep through the US east coast on Monday, ushering in a polar air mass that will drive temperatures 10-25C below the seasonal average across the eastern two-thirds of North America. Sub-zero temperatures are likely to reach as far south as Alabama and Georgia. (RTTNews) - Crescita Therapeutics Inc. (CTX.TO, CRRTF), on Monday, said it entered into a definitive arrangement agreement to be acquired by ClinActiv Holdings Inc., a dermatology and consumer health platform, in an all-cash transaction. The deal is expected to close in the second quarter of 2026. Under the agreement, an affiliate of ClinActiv will acquire all issued and outstanding shares of the company for a target purchase price of $0.80 per share. The price is subject to adjustment based on the company's net working capital at closing, with a minimum price of $0.75 per share. The company said the target price represents a premium of about 74% to the five-day volume-weighted average price of Crescita shares on the Toronto Stock Exchange as of March 13. The shareholders representing about 33% of the company's outstanding shares, including certain major shareholders, senior management and directors, have agreed to vote in favor of the transaction. Upon completion of the transaction, the company's shares are expected to be delisted from the Toronto Stock Exchange and the company will seek to cease being a reporting issuer under Canadian securities laws. On Friday, Crescita Therapeutics closed trading at CAD 0.4650 on the Toronto Stock Exchange. After a positive start, the FTSE 100 dropped down to around its previous closing level, but recovered swiftly and was up 50.08 points or nearly 0.5% at 10,311.23 a little while ago. Haleon is rising 2.75%, Segro is up 2.5% and Reckitt Benckiser is gaining about 2.3%. BT Group, Airtel Africa, British Land, Vodafone Group, Kingfisher, Hiscox, Pershing Square Holdings, Natwest Group, Smiths Group, Imperial Brands, Shell and British American Tobacco are up 1%-2%. Lloyds Banking Group, Scottish Mortgage, IMI, Unilever, Tesco, Land Securities, Rio Tinto, Aviva, Halma, Sainsbury (J) and Marks & Spencer are also notably higher. Apollo Global Management Inc. is in talks to buy a significant minority stake in Syntegon , the German packaging machine maker owned by CVC Capital Partners Plc , people with knowledge of the matter said. The US investment firm has emerged as the likeliest buyer for the stake in Syntegon after pulling ahead of other private equity bidders, who asked not to be identified as the information is private. A final decision could be reached as soon as the coming days, with a deal set to value Syntegon at up to €4 billion ($4.6 billion), the people said. Negotiations could still drag on longer or fall apart, and another buyer could emerge, the people said. Representatives for Apollo and CVC declined to comment. Syntegon, formerly known as Bosch Packaging Technology, produces packaging machinery for the pharmaceutical and food industries. CVC agreed to acquire the German firm from Robert Bosch GmbH in 2019. While financial terms weren’t disclosed, a person familiar with the matter said at the time that the transaction valued the business at about $1 billion. Last year, CVC was seeking a sale of the entire Syntegon business, which had drawn interest from both financial and strategic suitors, Bloomberg News reported at the time.
