KGaA ( HENKY ) ( HELKF ) ( HENOY ) in an all-cash transaction valued at $1.4B. The $2.06 per share cash offer represents a massive 55% premium over Olaplex’s March 25 closing price, and a premium of approximately 45% above the average price over the last 30 trading days. The transaction aims to combine the strengths of both companies in the professional channel, enhancing relationships with stylists and salons, enabling innovation through advanced technology and faster product development. Additionally, it merges OLAPLEX's strong North American market with Henkel’s global presence, leading to more growth opportunities. Since 2019, OLAPLEX has evolved into a science-focused brand with support from Advent, enhancing innovation, marketing, and community involvement, which sets it up for success under Henkel. Upon completion of the deal, expected in the second half of 2026, Olaplex will be delisted from the Nasdaq but will continue to operate as a standalone brand within Henkel’s professional hair care portfolio. Notably, Advent International, which holds a majority of the voting power in Olaplex, has already provided written consent for the transaction, so no further action is needed from other stockholders. The complaint, filed in San Francisco federal court, alleges the company overstated its business prospects and inflated its stock price by failing to disclose that a significant portion of its server sales went to China and that it had material weaknesses in export control compliance. The suit seeks unspecified damages for Super Micro investors between April 30, 2024, and March 19, 2026. Super Micro ( SMCI ) did not immediately respond to Seeking Alpha’s request for comment. Super Micro Computer ( SMCI ) shares crashed more than 28% last week on Friday after three individuals linked to the company, including a co-founder, were charged with assisting in the smuggling of at least $2.5B worth of AI technology to China. In an indictment unsealed on Thursday last week, the U.S. government alleged that Yih-Shyan “Wally” Liaw, Ruei-Tsan, “Steven” Chang, and Ting-Wei “Willy” Sun worked together to violate the Export Control Reform Act. Liaw co-founded Super Micro in 1993, and joined its board of directors in 2023. Chang was a sales manager in the Taiwan office of Super Micro, while Sun was a contractor. Liaw resigned from Super Micro's board on March 20, 2026. U.S. officials allege the trio went to great lengths to hide their actions from both U.S.-based server manufacturers and export control authorities. The efforts had yielded around $2.5B in sales for the server maker since 2024, with $510M sold between late April 2025 and mid-May 2025 going to the Southeast Asian company and on to China, the indictment said.
