Oklo ( OKLO ) has filed a new SEC ATM equity offering program of up to $1B, allowing the company to issue shares gradually at prevailing market prices. The filing shows a large distribution syndicate led by Goldman Sachs Group ( GS ), Bank of America ( BAC ), Citigroup ( C ), and JPMorgan Chase ( JPM ), along with Morgan Stanley ( MS ) and Barclays ( BCS ). The structure includes forward sale agreements, giving the company the ability to lock in future pricing and reduce timing and volatility risk. This new program replaces a previously authorized $1.5B ATM facility, under which the company raised ~$1.499B through over 15.7M shares, lifting liquidity to $2.54B as of Q1 2026. Even with a reported Q1 net loss of $33.1M, the company maintained strong funding access to support long-duration nuclear development projects. The proceeds from the new $1.0B facility are expected to fund key initiatives, including the Idaho Aurora project, a new $1.68B advanced fuel center, and broader commercialization efforts. These plans are closely tied to the company's 1.2GW agreement with Meta Platforms ( META ) plus an AI modeling partnership with NVIDIA ( NVDA ).
