In addition, the underwriters will have an option to purchase up to an additional 15% of the common shares issued under the treasury offering at the issue price per common share, for additional gross proceeds of up to $3M, to cover over-allotments and for market stabilization purposes, such option being exercisable in whole or in part at any time until 30 days following the closing of the offering. Baloncici/iStock Editorial via Getty Images I've kept Panasonic Holdings ( PCRFF ) ( PCRHY ) (6752.T) as a "Buy"-rated name. Its worse-than-expected FY26 (YE Mar) results were driven by one-offs. Investors should focus on its favorable FY27 guide and its growth in AI-related business areas instead. The promising takeaways from PCRFF's non-core disposal and investor showcase were detailed in my earlier December 4, 2025, update . One-Time Factors Led To Full-Year Underperformance The group's press release disclosing its latest financials was issued on Tuesday, May 12. Its FY2026 EBIT was 44.6% lower YoY at ¥236 billion . The bottom line of ¥81/share during the same period represented a 48.2% drop. That translated into operating profit/OP and EPS misses of -21% and -23%, respectively, against S&P Capital IQ consensus. I'm not worried about PCRFF's below-expectations headline numbers. Corporate Reorganization Efforts Investor Slides The company highlighted "174.5 billion yen of restructuring expenses" in its '26 announcement as detailed above. According to the results presentation , its in-vehicle battery operations also recorded ¥40 billion of costs associated with "past manufacturing process issues." Moving beyond the one-offs, you should know about the impact of accounting treatment changes too. At the 3QFY25 call in Feb 2025, management revealed "the (80%) share transfer of Panasonic Automotive Systems/PAS" which "become an (associated) company under the equity method." I estimate that the firm's FY2026 operating income would have gone up ¥5 billion or 1% year-on-year, on an adjusted basis. This excludes non-recurrent items and adjusts for the deconsolidated auto business. Also, PCRFF's ex-PAS topline expanded by ¥0.26 trillion or +3% in FY26. My biggest fear was singing in public and I wanted to do something I was afraid of, so I turned a Rimbaud poem into what I imagined was a blues song. And I loved it. Afterwards, I met this producer, William Orbit – I was 19 and he was 37 – through one of the women in the play whose husband was the manager of the Pogues. William decided: “She can sing. I will make a star of her.” He hooked me up with a wonderful singing teacher. But I probably will never see myself as a singer. Even last week I was like: “Oh yeah, I guess I am a musician, that’s ended up being what I do.” I still can’t quite get my head around that. When making a new song up, do you have a job to do, or are you inspired? And in which order do the songs come, regarding melody, chords, words? gin007 I get inspired and that’s why I write. I could be walking in nature or having a conversation and it’ll spark something in my head and I’ll make notes. Then I’ll go to the piano or guitar and often if I’ve got something percolating, that will find its way into the chords. So, melody, words and chords often come together at once. The easy part is the la la la, here’s the idea, here’s the shape, here’s the form, and then it’s like: this all came unconsciously, how do I write to that standard consciously? But his heart is no longer in it: the pay is poor and the work is solitary and dull. He dreams of being a folk singer, playing to audiences in pub backrooms and parlours, and, unbeknown to his mother, has been working on some songs.
