( KEY:CA ) which is a leading Canadian Natural Gas Liquids, or NGLs, infrastructure company, primarily operating in Canada’s energy heartland of Alberta was "worth owning". I still believe this because it’s a good way to get natural gas–related exposure. I also highlighted the 7-8% Fee-Based Adjusted EBITDA compound annual growth rate guidance and the supportive macro backdrop. All this meant Keyera’s stock was attractive and there was potential for a P/E rerating from about 20x to nearer Enbridge Inc.’s ( ENB ) about 24x. I also highlighted Keyera’s important marketing segment, questions about oil-sands driven iso-octane demand, and the still-pending Plains acquisition. Fast forward two quarters and Keyera’s trailing non-GAAP P/E is now 39x, vs Enbridge’s 26x, and the other there’s movement on the other items too. The stock itself is also up about 25% too which is nice to see. All this means it’s time to update the thesis on Keyera’s risk/reward balance. Transformative Plains Canadian NGL Acquisition In short, the deal has just closed on 12 May 2026. The timing slipped from Q1 into Q2 due to a regulatory process. While the deal closed, Canada’s Competition Bureau is challenging the deal, which adds some risk. According to the Competition Bureau Canada news release : The Bureau’s review found that the transaction would harm competition by: eliminating Plains as a close competitor in Fort Saskatchewan, Alberta; reducing the number of major competitors from three to two, significantly increasing market concentration in natural gas liquids processing; and giving the merged firm greater ability to increase prices, impose less favourable contract terms, reduce incentives to expand capacity, and further entrench control over critical infrastructure. Well, things are about to change significantly, and in this article we are going to show you why the company will be forced to cut its dividend, thus putting significant down pressure on the common equity price. First things first - a look at the latest financials When the company released its latest financials in April 2026, we got the following picture: Income Statement (SEC filing) While the earnings per share were higher when compared to the same period last year, the last 9 months picture was less encouraging with a net loss. More worrying though is the quality of the latest earnings. We see a much lower gross profit figure, while operating profit is higher. What does this mean? It means the fundamental business is seeing its margins compress (i.e. net sales minus cost of goods sold is lower), all while the company has been cutting costs via administrative expense reduction. We can also see that in the past nine months the company took a significant goodwill impairment charge. Was it a one-off? Maybe not: Balance Sheet (SEC Filing) CAG has an enormous amount of goodwill on the balance sheet, to the tune of $9.7 billion, or half the asset side. As we shall see shortly if the macro gets worse and the operating side continues to underperform, the company might need to take more goodwill impairments. While this is a non-cash charge, we are always hesitant around companies with very large goodwill assets on the balance sheet.
