Both offerings were upsized from earlier plans of $750M for stock and $250M for notes. Revolution Medicines also granted the underwriters of the common stock offering a 30-day option to purchase up to an additional 1,584,506 shares. The notes will accrue interest at 0.50% per annum, payable semi-annually in arrears, and mature on May 1, 2033, unless earlier repurchased, redeemed, or converted. The initial conversion rate is 5.0302 shares per $1,000 principal amount of notes, which represents an initial conversion price of ~$198.80 per share. The initial conversion price represents a premium of around 40.0% over the public offering price per share of common stock in the common stock offering. The stock and notes offerings are scheduled to settle on April 16, 2026, and April 17, 2026, respectively, subject to customary closing conditions. Here's what Wall Street expects: Earnings: $1.01 a share, according to LSEG Revenue: $29.93 billion, according to LSEG Net interest income: $15.67 billion, according to StreetAccount Trading: Fixed Income of $3.83 billion, equities of $2.48 billion, according to StreetAccount Bank of America, the second-largest U.S. bank by assets, has topped expectations for earnings per share for 23 consecutive quarters. The company has guided for net interest income, the profitability metric for loan-making, to increase between 5% and 6% this year amid a flattening yield curve. Analysts and investors will be monitoring whether the bank reaffirms that guidance. Last quarter, CEO Brian Moynihan highlighted consumer and business resiliency along with a favorable regulatory environment as factors poised to drive economic growth. Two of the biggest fears this year are whether artificial intelligence (AI) will displace software and whether companies will get a solid return on their AI infrastructure spending investments. Unfortunately for Microsoft (NASDAQ: MSFT) , that puts it at the intersection of two of the market's greatest worries. As a leader in enterprise productivity software, Microsoft was not spared in the recent software-as-a-service (SaaS) stock sell-off. Meanwhile, it has also been squarely in the crosshairs when it comes to AI infrastructure spending, as its Azure cloud computing unit has been its biggest growth driver. To make matters worse, unlike cloud rivals Alphabet and Amazon , it is behind on the custom chip front, which puts its cloud computing unit at a bit of a disadvantage. As such, Microsoft finds its stock down more than 20% year to date, as of this writing. Meanwhile, the stock has gone nowhere over the past year, down modestly, despite strong revenue and earnings growth. A lot of the good news already looks priced in, and I do not think the current multiple leaves enough room for upside. For now, I would wait for a better entry point. Business Overview GRDN is a US-based long-term care pharmacy services provider. It operates a network of local pharmacies across 38 states and serves residents of assisted living facilities, behavioral health facilities, and skilled nursing facilities. The business model focuses on dispensing and delivering medications to long-term care residents and providing related services such as clinical consulting, compliance packaging, billing and administrative support, etc. Guardian is in the right part of long-term care I believe the most important aspect of GRDN’s equity story is that more than two-thirds of its revenue comes from assisted living facilities and behavioral health facilities, not skilled nursing. I call this out because assisted living is a more difficult operating environment for pharmacy providers. In assisted living, residents often have the right to choose their own pharmacy, unlike skilled nursing, where the facility typically uses a single provider. At the same time, residents are older, take many medications, and live in facilities with limited clinical staff. This makes medication coordination harder, and this gap creates room for a specialized operator to come in (like GRDN). We know that this is a problem to be solved because GRDN is now serving more than 205,000 residents across approximately 8,200 facilities through 54 pharmacies, with approximately 140,000 of those residents in assisted living alone.
