The transaction will be executed through Carrier’s wholly owned subsidiary, PureColo Inc. The acquisition is expected to close by August 15, 2026, subject to customary closing conditions and final approval from the TSX Venture Exchange. The consideration shares will be placed in escrow and systematically released in four equal tranches at 6, 12, 18, and 24 months post-closing. Rochester Colo currently generates approximately C$885K in annual recurring revenue. Upon closing, the asset is projected to immediately boost Carrier’s top-line revenue by 15% to 17%. JFB Construction and XTEND entered into a definitive all-stock business combination agreement announced on Feb. 17, 2026.
