Raizen SA reached an out-of-court restructuring agreement with the majority of its creditors, marking a key step in the Brazilian sugar-and-ethanol producer’s efforts to rework its debt, according to people familiar with the matter. The company has started formal procedures to submit the documents to Brazil’s court, the people said. The agreement restructures about 65 billion reais ($12.6 billion) of debt and has support from creditors holding around 75% of the obligations included in the plan, according to the people. The out-of-court restructuring, Brazil’s biggest ever, includes 19 financial institutions and 80 relevant bondholders. The company was able to reach an agreement with its creditors ahead of the court’s deadline, overcoming earlier resistance from some bondholders. The agreement converts 45% of debt into equity and the remaining 55% into new debt. It also calls for the business of sugarcane processing to be segregated from the fuel distribution unit by the end of 2027. The company expects creditor approval to surpass 80% by Monday, the people said. Raizen Chief Financial Officer Lorival Luz will also take on more responsibilities as chief restructuring officer, while the company’s current board will remain in place through the first quarter of next year. That leaves open whether Chairman Rubens Ometto will remain on the board, if he provides a 500 million-real capital injection. The company, a joint venture between Cosan SA and Shell Plc , filed for an out-of-court restructuring in March, a consequence of some failed bets in ethanol and aviation fuel, plus high interest rates and weaker-than-expected harvests. Since then, Raizen has been racing to win creditor support for its restructuring plan and avoid having to file for bankruptcy protection.
