The deal is set to create a balance sheet with a net cash position, allowing Certara to focus on its core operations, while anticipating AI challenges and opportunities. Investors hardly reacted to this sizable sale. I like the trend of valuations coming down, yet amidst flattish sales seen here (unlike growth in the past), investors are naturally a bit cautious here. I am cautious, but intrigued as well, making me curious to keep track of the stock but not yet willing to pull the trigger. The Sale Of The Regulatory Writing & Medical Writing Business Certara has reached a deal with Veristar to sell its regulatory writing & medical writing business in a deal valued at up to $135 million. The business employs 220 workers and generates some $50 million in sales in 2025, with adjusted EBITDA reported at $17 million, which is ahead of unallocated corporate overhead. Revenues were down 8% in 2025 as the company focused on its core business and commitment to the acceleration of AI-integrated modeling in drug development. The deal is valued at about 2.7 times sales and some 8 times EBITDA, again ahead of corporate overhead cost allocation. Shares hardly reacted to the deal, trading at $6 and change with little additional volatility observed around the announcements. Modeling Pro Forma Implications In February, Certara reported its 2025 results, with full-year reported revenues up 9% to $419 million and constant currency sales reported up 8%. Growth was driven by an 18% increase in software sales to $183 million, with services revenues reported at $235 million, up a mere 3% from the year before.
