ESH Acquisition ( ESHA ) announced on Thursday that it has received a Nasdaq notice for missing its FY ended Dec 31, 2025, Form 10-K filing, making it non-compliant with the listing rules. The company has 60 days to submit a recovery, and if accepted, it may get up to 180 more days (until Oct. 14, 2026) to fix the filing issue. However, the stock will continue trading on Nasdaq until the record date (April 30). The company also said it will stop operations on April 30, 2026, and within 10 business days after that, it will redeem all publicly held IPO shares in cash, since it does not expect to complete its business combination by June 13, 2026. If no deal is completed by the time, ESH Acquisition ( ESHA ) will fully liquidate: redeem 100% of public shares using trust funds, settle creditor obligations, and dissolve.
