American Industrial Partners [AIP] is a private equity firm that ended up becoming V2X's ( VVX ) dominant shareholder following the 2022 merger of Vectrus Inc. and Vertex Aerospace Services Holding Corp. (Vertex), which resulted in the formation of V2X. AIP held Vertex prior to the merger and ended up with a 61.1% stake in V2X post-merger. Starting September of 2024, AIP has been selling down its shares through a series of secondary offerings to institutional investors, each priced at a discount to the prevailing market price. On May 11, 2026, the final selloff occurred, which left AIP with only a 1.2% stake in V2X when it sold its roughly two million shares. Over the past two years, any institutional investor who would have wanted to meaningfully buy V2X would have simply waited for AIP to sell the shares at a discount, not buying from the open market. Hence, the demand never fully pushed the stock price up, and it always traded at a discount to its fair value. I argue ahead for a potential re-rating scenario, possible now that the AIP overhang has ended. The opening of its borders with Turkey and Azerbaijan could transform not just Armenia but the South Caucasus, Armenia’s prime minister, Nikol Pashinyan, has claimed.
