However, GFM's independent directors have approved the deal, utilizing exemptions for formal valuation and minority shareholder approval under MI 61-101. The sale has also received strong backing, with shareholders representing 94% of the company’s stock providing written consent. The closing of the deal is subject to the approval of the TSX Venture Exchange. Located in Durango, Mexico, the La Casita Property spans approximately 1,180 hectares but has remained under care and maintenance with no recent exploration activity. In a separate move to streamline operations, GFM has engaged Fiore Administration Services Corp. to provide ongoing corporate and financial advisory services.
