An update of that investment thesis is long overdue halfway through the year following regular corporate events as well as a rather substantial M&A deal being announced. As Apogee has been suffering continued challenges, driven by higher interest rates and rising aluminum prices, few green shoots are seen here, as I question the timing and pricing of an M&A move instead of buybacks, for instance. Other and more promising serial growth plays are covered in greater detail at Value in Corporate Events . Acquiring At A Difficult Point Towards the end of May, Apogee announced that it has reached an agreement to acquire Kalwall Companies in a $115 million deal. With the transaction, Apogee will acquire a vertically integrated manufacturing business of high-performance daylighting solutions, with a strong heritage, this business being around for over 70 years. The deal is comprised of a $105 million cash component and up to $10 million in earn-outs depending on the company's performance. The acquisition is set to contribute $85 million in sales and 15% EBITDA margins; these margins are set to grow to 20% if synergies over time are factored in. This values the business (including the earn-out) at just over 1.3 times sales and about 9 times EBITDA (ahead of synergies). The deal is seen closing in the second quarter of the fiscal year 2027, with some $4 million in operating synergies expected by the end of the fiscal year 2029. If margins are achieved at such levels, EBITDA multiples come in below 7 times. Modeling The Implications By the end of April, Apogee reported its fiscal 2026 results, that is, for the year ending in February of this calendar year.
