Getty Images I have to be completely honest with you. Decisive Dividend ( DE:CA ) caught my attention first because of its name. Why do Canadian cash cow companies need to be so literal in their names!? It gave me the impression of another company I cover, Diversified Royalty ( DIV:CA ). But digging a little deeper, I discovered that they are not actually similar. To put it simply, it's a kind of serial acquirer like Premium Brands ( PBH:CA )—another Canadian company I cover—but within the Finished Product (stoves, agricultural sprayers, maintenance equipment) and Component Manufacturing (wear parts, CNC manufacturing, radiators) segments. The strategy is quite simple. Management looks for mature businesses with stable cash flow and generally non-cyclical (hence the strong focus on non-discretionary assets). Another point is that these businesses generally don't exceed ~$25 million. Many times these bolt-ons are family-owned businesses, with management maintaining local control and allowing them to expand either in Canada or internationally. And the biggest difference between these guys and PEs, for example, is that they are holders. This allows them to compound over time. A lot of people call this strategy a kind of ' perpetual repeatability,' since they can repeat the cycle and use the idle capacity of underperformers to expand production on the other side. But there's a big difference between them and royalty companies, for example. Decisive actually operates these businesses and—despite protecting itself with a non-cyclical portfolio—is at the mercy of operational risks. It's not like a traditional bond proxy that I usually cover in the Canadian market. Acquisition-Backed Dividends: How Do They Work? The Chapter 11 case filed in the U.S. Bankruptcy Court for the Southern District of Texas is aimed at maintaining its ongoing operations as it reorganizes its financing and capital structure, Inotiv ( NOTV ) said in a press release. The Indiana-based company expects to reduce its debt by roughly $326M as part of the bankruptcy proceedings, which it said is supported by financial commitments totaling $65M, including $25M in debtor-in-possession financing. “By taking proactive steps to strengthen our financial foundation and capital structure, Inotiv will have additional flexibility to advance our strategic initiatives and deliver value to our clients,” CEO Bob Leasure remarked.
