(RTTNews) - Hain Celestial Group (HAIN), a packaged food company, Monday announced that it has agreed to sell its North American Snacks business which includes Garden Veggie Snacks, Terra chips and Garden of Eatin' snacks, to Snackruptors Inc., a Canadian family-owned snacks manufacturer, for $115 million in cash. The company, following this deal, hopes to move forward with a simplified portfolio in North America focused on core categories and markets with stronger margin and cash flow profiles. Hain Celestial's North America snacks portfolio represented 22% of the company's net sales in fiscal 2025 and 38% of the North America segment net sales with negligible EBITDA contribution over the last 12 months, the company said in a statement. Proceeds from the transaction will be used reduce debt, strengthening the company's financial position and leverage profile, commented Alison Lewis, Hain Celestials CEO. Post this deal, the company categories across North America will include Celestial Seasonings teas, The Greek Gods yogurt, Earth's Best Organic baby and kids foods and Spectrum Organic culinary oils. The transaction is expected to close by February 28. In pre-market activity, HAIN shares were trading at $1.3, up 7.44% on the Nasdaq. Each outstanding Northfield share will be converted into the right to receive either shares of the holding company or cash, as follows — if the final independent valuation is less than $2.3B, either 1.425 shares of the holding company or $14.25 in cash; if the independent valuation is equal to or greater than $2.3B and less than $2.6B, either 1.450 shares of the holding company or $14.50 in cash; and if the independent valuation is equal to or greater than $2.6B, 1.465 shares of the holding company or $14.65 in cash. No more than 30% of the outstanding shares of Northfield may be converted into the cash consideration. Both boards have unanimously approved the merger. Columbia estimates the merger to be 50% accretive to its 2027 EPS. Northfield's CEO, Steven Klein, will become senior executive vice president and COO of the holding company. The combined company's board will have four members from Northfield's board. "We are excited to announce our second-step conversion and simultaneous merger with Northfield," said Columbia CEO Thomas Kemly. The completion of the merger is subject to the satisfaction of various closing conditions, including the completion of the second-step conversion. Fernández’s nearest rival, centre-right economist Álvaro Ramos, conceded defeat as results showed the ruling party far exceeding the threshold of 40% needed to avoid a runoff. With 94% of polling stations counted, the political heir of outgoing president, Rodrigo Chaves, had captured 48.3% of the vote, compared with Ramos’s 33.4%, according to the Supreme Electoral Tribunal (TSE). As soon as the first results were announced, members of Fernández’s Sovereign People’s party erupted in celebrations around the country, waving blue, red and white-striped Costa Rican flags. “Viva Rodrigo Chaves,” some cheered, in a nod to Fernández’s mentor. Appearing via video link at her party’s official election night gathering in the capital San Jose, Fernández, 39, thanked Chaves for giving her “the confidence to be president-elect of Costa Rica” and said his legacy was in good hands. Under the terms of the deal, the company retains a minority stake and long-term royalty stream. Upon closing of the transaction, CPE invested $350 million of new primary capital into the joint venture and now owns approximately 83% of the business, with Restaurant Brands ( QSR ) retaining a 17% minority interest and a seat on the board of directors. The partnership was noted to combine Burger King's globally iconic brand and products with CPE's deep local market expertise. Notably, China had been an underperformer for Burger King, and Restaurant Brands International ( QSR ) first bought out prior joint venture partners in early 2025 to regain full control, clean up the base, close weak stores, and stabilize operations before bringing in local partner CPE. Looking ahead, CPE and Restaurant Brands International ( QSR ) aim to expand Burger King's restaurant network in China from approximately 1,250 restaurants today to more than 4,000 by 2035.
