Adam Wyden's hedge fund ADW Capital, which has a 2.5% stake in Driven Brands ( DRVN ), wants the company to immediately start a strategic review process, according to a WSJ report on Wednesday, which cited a letter sent to Driven's board. Wyden also criticized Driven Brand's private-equity owner Roark Capital of mismanaging its business. Wyden wrote in the letter that Driven's ( DRVN ) individual companies, including Meineke and Auto Glass Now, should either be broken up or the whole company should be sold to a competitor or another PE firm, according to the report. If Driven were to do such a move, its shares may be worth more than $30 a share. Wyden also wrote that Roark, which has a 60% stake in Driven ( DRVN ) after taking it public in 2021, has been distracted by its food brands such as Dunkin' and Arby's, the WSJ said. The sale push comes after Driven's ( DRVN ) shares plunged 30% on Feb. 25 after the company reported "material errors" in its financial statement in recent years and de layed the release of its Q4 results. Briefly On The Company Velo3D is in the business of making 3D printing systems and related software that allow customers to essentially build custom parts for their needs, as long as the blueprints fit the dimensions of the printer. These printers allow the manufacturing of complex metal parts used in aerospace, defense, and other industrial segments, with the core value proposition being that they let engineers print parts with less compromise and with less support material. Most of the revenue still comes from the sale of its Sapphire printers, but some positive shifts allow for other revenue streams to come through, specifically the Rapid Production Solutions, or RPS, which essentially involve parts production, allowing customers to develop applications, and then they can produce the parts in-house or have VELO manufacture them. By The Numbers Looking at the headline numbers , it does not look particularly good. Revenue came in at $9.4m, which is down over 25% y/y. We can look at the breakdown in sales in more detail to see that the Support Services segment saw a particularly bad quarter, declining by over 62% to $1.7m from $4.5m. The main revenue generator, which is its 3D printers and parts, also didn’t perform as well as investors would have liked. It is down around 5% y/y to around $7.6m. Now, the following part is where it gets even worse. Q4 GAAP EPS came in at a loss of $1.03, while adjusted net loss per share was a little better at -$0.54. The assessment is focused on nations with active financing programs, one of the people said, asking not to be named because the information isn’t public.
