Expecting this trend to continue, I maintained the Buy rating in the second article ; however, after the news of the purchase of Masimo Corporation and the release of the Q4 report, the shares fell sharply in price. Given the new introductory and weak revenue data for Q1, which also failed to meet expectations, I am temporarily downgrading the company's rating from Buy to Hold. The company continues to generate a high FCF and remains one of the best in terms of business profitability; however, a strong increase in the debt burden will put pressure on net profit, and unforeseen transaction-related costs may negatively affect the overall marginality of the business. In addition, for the second quarter in a row, revenue has actually stagnated. Masimo Deal: Long-Term Growth, Short-Term Pressure Before proceeding to the analysis of the latest Q1 financial statements, I would like to analyze the situation with the purchase of Masimo Corporation , which was announced in early February. The essence of the deal is as follows: Danaher buys a company from MedTech, which develops devices that monitor the client's condition in real time. With this purchase, the company is strengthening the Diagnostics segment. Danaher management expects to receive synergies from the deal in the form of cost savings of $125 million and additional revenue of $50 million per year in a few years. Management also expects the deal to increase EPS by $0.15-$0.20 in the first year. The deal is currently under regulatory approval. Danaher aims to close the deal completely in the second half of 2026. With shares closing at $65.27 per share on April 22, weekly options suggest the market expects a swing of roughly $6.20 by Friday. The 64 straddle was worth about $6.19, the 65 straddle about $6.14 and the 66 straddle roughly $6.23, implying a post-report range of about $59 to $71.50. Heavy flow on both sides of the options chain signals traders are bracing for turbulence. Call volume was concentrated at the 65, 67, 68 and 70 strikes, while put activity was heaviest at 65, 60, 67 and 63. The broader structure leaned modestly constructive. Call open interest stacked above the current price at 67, 70, 75 and 80 strikes, while the heaviest put concentrations sat lower at 60 and 55.
