The UK investment fund said it submitted a shareholder proposal to Osaka-based Rohto, saying that chairman Kunio Yamada ’s actions were distorting the company’s corporate governance. AVI, which now has about a 2% stake in Rohto, said it began investing in the pharma company in 2024. The shareholder proposal is its first as a Rohto investor, and it will be presented to the annual general stockholder meeting in June. Japanese shareholders made record numbers of management proposals last year, and 2026 will also likely see a busy peak annual meeting season in June. Investors are encouraged by a policymaker push on companies to boost their corporate value. Not many Japanese health care companies have been targeted by activists, compared with sectors such as financial and industrial, according to Bloomberg Intelligence data . AVI recommended reforms at Rohto in 2025 including questioning the company’s continued involvement in regenerative medicine, which has failed to produce profits despite years of investment. The UK firm said that Yamada’s 27 years at the top of management starting as president have led to governance issues. He’s a member of Rohto’s founding family. Yamada “actually exerts a very strong influence on the company’s decision-making system,” Kazunari Sakai , AVI’s head of research in Japan, said in an interview. A Rohto spokesperson confirmed that the company received a shareholder proposal, but added that it will carefully consider the opinion on the board of directors and will release a comment when a decision is made. Despite the founding family owning only about 7.6% of Rohto’s shares, they have continued to control the appointment of presidents and chairmen, which it has done since the company was founded, AVI said.

The rental car company's shares surged from over $145 apiece a month ago to as high as $847.7 last week, before crashing down to $181 as of the last close. Pentwater, Avis' ( CAR ) second largest shareholder, filed as a 9% owner of the company as of Dec. 31, 2025, crossed the 10% ownership threshold on Feb. 20, Choi disclosed in an earnings call "On that day, Pentwater disclosed they held an economic interest of 39% of our company through stock and cash settled swaps," he said. "By March, they disclosed that economic interest increased to 51%." "We believe that this significant increase in ownership, combined with the high short interest in our name resulted in a short squeeze," said Choi. Pentwater disclosed the sale of 4.3M shares for gross proceeds of $1.75B on April 22 and April 23. Choi noted that Avis ( CAR ) has not bought or sold a share since 2024, and its largest shareholder, SRS, has not bought or sold a share since 2023. "So it seems the only insider active during this period of excess volatility was Pentwater Capital." Pentwater acknowledged that its sale of Avis ( CAR ) stock, at least in part, was violative of the Securities and Exchange Commission's Section 16 short swing profit rule. The regulation requires company insiders to return any profits made from buying and selling its stock if the transactions occur within a six-month period. "Avis has requested Pentwater furnish it all relevant information concerning the trades and Avis will aggressively pursue all rights on behalf of our stockholders," Choi said, adding that the company has a fiduciary duty to aggressively pursue every dollar its shareholders are owed. The forint and long-term bonds have rallied on bets that incoming Prime Minister Peter Magyar will unlock European Union funds and put the country on a path toward euro adoption. “The post-election improvement showed up in the forint rather than in interest rates,” which created “a headwind, especially against the dollar,” Orban said. “As long as other branches of macro policy are not aligned to support exchange-rate stability, there will be problems.” The forint has jumped 2.2% against the dollar since the April 12 election, extending gains from the start of last year to about 27%.
