The SEC alleged that Musk's trust failed to file an ownership report with the commission after it had acquired beneficial ownership of more than 5% of Twitter's outstanding shares of common stock. The trust had been added to the complaint in July 2003. Without admitting or denying the complaint's allegations, the Revocable Trust consented to entry of a final judgment, subject to court approval, that would permanently prohibit it from violating section 13(d) of the Exchange Act and order it to pay the penalty. The SEC will file a stipulated dismissal of Elon Musk in his personal capacity, which will resolve the case in its entirety, the SEC said. The SEC sued Musk over the delayed disclosure of Twitter stock purchases on January 14, 2025.
