I published a deeper study on Camden Property Trust ( CPT ) to discuss the multifamily giant’s pivot towards share repurchases. Following a prolonged period of undervaluation relative to private markets, CPT decided to become a more concerted capital recycler. This article will highlight another avenue for delivering value to shareholders. This week, Veris Residential ( VRE ) announced an agreement to be acquired by an investor group led by Affinius Capital. The move sent shares higher as the agreement was priced at nearly 25% above the company’s market share price. Before diving into the deal, let’s review my prior coverage of VRE. Review of Prior Coverage VRE is one of the smaller multifamily REITs that trades publicly. While the company is one of the older publicly traded REITs, the portfolio and management team have been rolled over several times, most recently in 2020. After the pandemic, VRE moved towards becoming a pure-play multifamily REIT, shedding their office exposure. "Over the past five years, we have undertaken meaningful steps to pivot away from office, simplifying and focusing the business, strengthening our balance sheet, and enhancing our operational platform," said CEO Mahbod Nia. My prior coverage dove into VRE’s business model of high-income tenants and premium markets. In my coverage, I called VRE an innovator with their use of artificial intelligence to aid leasing and operations. VRE emphasis urban centers within large MSAs, such as Boston, New York, Newark, and Washington D.C. VRE owns high-quality assets and prices their units accordingly. The company’s average rent per unit is significantly above market. Their properties are also marketed towards a young demographic with an app-based portal and on-site health focused amenities. Since my last analysis on NEWTH, NewtekOne has grown and improved in financial health. Its transformation from business development company (“BDC”) to financial holding company was completed in January 2023 with the acquisition of the National Bank of New York City and its renaming to Newtek Bank, N.A., leading to a period of remarkable operational success. Deposits have grown, loan origination has expanded, and the company has become even more profitable than when I first wrote about the NEWTH. My analysis shows that NewtekOne deserves an investment-grade credit rating. As a result, I maintain my “Strong Buy” rating. 8.625% Yield With A 2029 Maturity NEWTH was issued on Sept. 16, 2024, as a $75 million offering of senior unsecured notes with a $25 issue price. NEWTH pays 8.625% a year in quarterly installments on Jan. 15, April 15, July 15, and Oct. 15, with a maturity date of Oct. 15, 2029. They become callable at par this year on Oct. 15 without a make-whole provision, i.e., they cannot be called until that date, and then they become redeemable at $25.00 plus accrued interest at NewtekOne's discretion. NEWTH has a current yield of 8.56%, a yield-to-maturity of 8.4%, a yield to call of 7.5%, and a spread over 3-year Treasuries (constant maturity) of 5.06%. In terms of the capital structure, NEWTH’s subordination to Newtek Bank, N.A. liabilities is the most important feature. As senior unsecured debt, NEWTH is on an equal footing with NewtekOne’s other exchange-traded notes, NEWTI, NEWTG, and the newly issued NEWTO. These notes are subordinated to all Newtek Bank, N.A. obligations, including $1.42 billion in deposits and Federal Home Loan Banks (“FHLB”) borrowings.
