Global Medical Response has selected banks for an initial public offering, according to people familiar with the matter, as the KKR & Co. -backed air and ground emergency medical services company joins a growing list of firms seeking to tap investors. Lewisville, Texas-based GMR has picked JPMorgan Chase & Co. and Bank of America Corp. to work alongside KKR’s capital markets desk on the IPO, the people said, asking not to be identified as the matter is private. The share sale could raise about $1 billion, the people said. The company is also working with Barclays Plc and Goldman Sachs Group Inc. on the offering, the people said. KKR acquired helicopter ambulance company Air Medical Group Holdings Inc. from Bain Capital in a $2.09 billion deal in 2015. The New York-based firm then combined the company with American Medical Response after buying the transport company from Envision Healthcare Corp. for $2.4 billion in cash in 2017. Deliberations are ongoing, details could change and more banks may be added to the lineup, the people said. A spokesperson for KKR declined to comment. But then came the tariffs and the trade war bargaining along with economic uncertainty that may bring about a market correction instead. If that happens, then there is a good possibly that the time this company has spent making acquisitions for equity will be time well spent. This management has done everything that it could to keep the debt ratio very low while growing production. The latest deal is a buyout of the partner on some of the Simonette leases while paying for the whole thing with an equity offering. The company will now sell publicly roughly 44 million shares while privately selling another 34 million shares to raise C$63 million. Adding approximately 80 million shares to the roughly 600 million outstanding at the end of the third quarter will mean there are 664 million shares outstanding (that I know about). But more importantly, the last article and articles before stressed that this is a management that has bought and sold companies before. Rather than leveraging up to produce good returns, they prefer to find really good deals and good acreage. This looks like one of the best deals that I have seen in a very long time. It also accelerates the production growth using very low-risk equity. No matter how the current uncertainty works out in the future, this company is extremely well positioned for whatever happens. Acquisition Acreage The last article noted that production was growing rapidly. Management has long had a long-term goal of getting production past 25K BOED by roughly 2028. These acquisitions that are being made are getting the company out of speculative territory into rock solid upstream territory with a low debt ratio as a bonus.
